Electronic Record and Signature Agreement

From time to time, Apria Healthcare (“we” or “us”) may be required by law to provide to you certain notices, disclosures, authorizations, acknowledgements and other records required to be provided in writing and may also be permitted to provide other communications to you (collectively, “Communications”) during the course of our relationship with you. Pursuant to this Electronic Record and Signature Agreement (“Agreement”), we may provide such Communications electronically through Adobe Sign, Inc. (“Adobe Sign”), as further described in this Agreement. Please read the information below carefully and thoroughly before agreeing to its terms.

THIS AGREEMENT APPLIES ONLY TO DOCUMENTS PROVIDED TO YOU BY US THROUGH ADOBE SIGN AND TO RELATED COMMUNICATIONS AND NOT TO ANY OTHER ASPECT OF OUR RELATIONSHIP WITH YOU.

Communications

By agreeing to the terms of this Agreement, you are requesting that we provide to you Communications in electronic form, and consent to allowing us to do. We may do so by email or by making the Communications available through one of our websites. You understand that by requesting and consenting to receive the Communications electronically, you may no longer receive such Communications in paper form. You should print or download each electronic Communication for your own records. We may, from time to time in our sole discretion, make any Communication available to you in paper form even if you have requested and consented to receiving such item in electronic form. Your request and consent as described in this Agreement will remain in effect through the course of your relationship with us until you withdraw your request and consent. If you no longer wish to receive Communications in electronic form, you must notify us as described below.

Designated e-mail address

By requesting and consenting to receive Communications electronically, you are representing that the e-mail address that you provided to us is your e-mail address and that you have access to that e-mail account in order to receive Communications. You agree to immediately notify us if the e-mail address to which you receive Communications changes by contacting us at (888) 492-7742.

To request paper copies

You may request from us the delivery in paper form of any Communication which is legally required to be disclosed to you in writing by contacting us at (888) 492-7742. However, we retain a copy of each such Communication for the applicable time period required by law and will provide you with a paper copy of the requested Communication only within such time period. We typically do not retain a copy of the Communications for longer than is required by law. You will be required to provide your full name, US Postal address, and telephone number and to identify the Communication you would like to obtain in paper form. You are not required to receive notices or disclosures or sign documents electronically and may request paper copies of documents or disclosures if you prefer to do so. You also have the ability to download and print any open or signed documents sent to you through the electronic signature service using the PDF and Print icons. Adobe may also email you a PDF copy of all agreements you sign using the electronic signature service. If you wish to receive paper copies in lieu of electronic documents, you may close this web browser and request paper copies from the “sending party” by following the procedures outlined below. The “sending party” may apply a charge for requesting paper copies.

Use of the Service requires a standards-compliant web-browser which supports the HTTPS protocol, HTML, and cookies. Viewing PDF documents requiring additional software such as Adobe Reader or similar.

To withdraw your request and consent

You may withdraw your consent to receive electronic documents, notices, or disclosures at any time. In order to withdraw consent, you must notify the “sending party” that you wish to withdraw consent and to provide your future documents, notices, and disclosures in paper format. After withdrawing consent if at any point in the future you proceed forward and utilize the electronic signature system you are once again consenting to receive notices, disclosures, or documents electronically. You may withdraw consent to receive electronic notices and disclosures and optionally electronic signatures by following the procedures described below.

Scope of Consent

You agree to receive electronic notices, disclosures, and electronic signature documents with all related and identified documents and disclosures provided over the course of your relationship with the “sending party.” You may at any point withdraw your consent by following the procedures described below.

Required hardware and software

To access the Communications electronically, you must have a working e-mail address, an electronic device with working Internet access, and a Web browser that allows per session cookies and has the minimum requirements for accessing PDF documents through Adobe Sign.

Modification of this Agreement

We reserve the right to modify this Agreement at our discretion. We will provide you with notice of such modification electronically in a manner consistent with this Agreement. If you do not agree to this Agreement as modified, you must notify us by withdrawing your request and consent as described above. Failure to withdraw your request and consent or take any other required action stated in the notice of modification will confirm your continued request and consent under the Agreement as modified.
